Company Structures

Which Type Is Right for You?

WFOE Wholly Foreign-Owned Enterprise

Best for: Trading, sourcing, and most commercial operations

100% foreign-owned. Can generate revenue, issue fapiao, and employ staff. The most common choice for Yiwu-based import/export businesses.

JV Joint Venture

Best for: Businesses requiring a Chinese partner or local market access

Jointly owned with a Chinese partner. Useful in industries with foreign ownership restrictions.

Rep Office Representative Office

Best for: Market research and liaison activities only

Cannot generate revenue or sign commercial contracts. Simplest to set up, but limited in what it can do.

FAQ

Common Questions

Do I need to visit China to register my company?
Not necessarily. We can handle most of the process remotely using notarized documents and a power of attorney. Some banks, however, require an in-person visit to open a corporate account.
What's the difference between a WFOE, JV, and Rep Office?
A WFOE is 100% foreign-owned and can conduct business and earn profit in China. A Joint Venture involves a Chinese partner. A Representative Office cannot earn revenue — it's typically used for liaison and market research only. Most of our clients choose a WFOE.
How long does the full process take?
Typically 3–4 weeks total: 5–10 working days for the business license, then 1–2 weeks for tax registration, company chops, and bank account opening.
Is there a minimum registered capital requirement?
For most trading WFOEs in Yiwu, there is no mandatory minimum. We recommend RMB 100,000–500,000 depending on your intended business scope. Registered capital does not need to be injected immediately.
